Service Agreement
Acknowledgment and Acceptance of the Terms of Agreement
 

ccTalk provides ccTalk (www.cc101.cc) services pursuant to the terms of this agreement (“this agreement” hereinafter). Your use of ccTalk means that you have read, understood, agreed to and accepted all the content of this agreement. ccTalk reserves the right to revise or change, at any time, the content of this agreement, so it is suggested that you pay close attention to changes that may affect your use of the service. In the event that you continue using the ccTalk service after any revisions or changes, it means that you have read, understood, agreed to and accepted the revisions or changes. Should you disagree with any content of this agreement, or the country or region of which you are a legal resident excludes the content of this agreement, in part or in its entirety, you must cease to use ccTalk immediately.

In addition to the aforementioned provision, if you are below 18 years of age, your use of the service must be given consent by your parents (or legal guardians) provided that they have read, understood and agreed to all the terms and changes pertaining to this agreement. Your use or continued use of ccTalk means that your parents (or legal guardians) have read, understood, agreed to and accepted all the terms of and subsequent changes to this agreement.

Your Responsibility to Register
 

You agree to the following items for the use of this service:
(a)Provide the most accurate, updated and complete personal information according to the prompts in the registration form of this service.
(b)Maintain and update your personal information such that it remains accurate and up-to-date. ccTalk will not be able to provide you with the use of this service, in part or in entirety, in the event that you give us any erroneous or incorrect information.

 

The Privacy Policy of ccTalk
 

Your membership registration and other specific information are under the protection and guidelines of Privacy Policy of our company.

 

The Account Names, passwords and security of the members
 

You will receive an account name and password once you have completed the registration procedure of this service. It is your responsibility to maintain the secrecy and security of your personal account name and password. As well, all the actions based on the account name and password shall be solely your responsibility. You also agree to the following:
(a) You must inform ccTalk at once should your account name or password be stolen, or any security issues occur.
(b) You should log out your account name every time the use of this service is completed.

 

The Protection of Children and Youths
 

It is an inevitable trend for children and youths to have access to the Internet, and the use thereof allows them to obtain knowledge, cultivate their maturity and competitiveness. However, there is indeed information unsuitable for children and youths to receive, for example, pornography and violence; therefore, there is the potential for children and youths to be hurt emotionally and physically. As such, parents (or legal guardians) should fulfill the following responsibility:
(a)Examine first whether or not the websites have privacy policies in regards to the protection of personal information before agreeing to provide personal information. Also, children and youths should be advised not to disclose any personal information of their own or of their family (including names, addresses, phone numbers, e-mail addresses, photographs, credit card numbers, et al). They should neither accept invitations extended by friends on the Internet, nor meet with them for the purpose of receiving gifts, et al.
(b)Choose the websites suitable for children and youths to browse with prudence. Parents should be present at all times with children below 12 years of age accessing the Internet; parental consent should be given to youths between 12 and 18 years of age as they access the Internet.

 

The Legal Responsibility and Commitment of the Users
 

You will make the commitment to not use ccTalk for any illegal purposes or with any illegal means, meanwhile complying with all applicable laws and regulations of the Republic of China, as well as all international conventions regarding the use of the Internet. If you are a resident not of the Republic of China, you agree to comply with all the applicable laws and regulations of the country or region of which you are a resident. You also agree to pledge not to use this service in the infringement of others’ rights or any illegal act, including, but not limited, to the following:
(a) Publish or transmit any literature, words and pictures onto ccTalk, in the form of electronic files, which are in the nature of the following: slandering, insulting, threatening, aggressive, ungainly, indecent, untruthful, and not in accordance with good public order or customs, or any other illegal materials;
(b) Violate the goodwill, privacy rights, business secrets, registered marks, copyrights, patents, miscellaneous intellectual property rights and rights of others;
(c) Violate the responsibility to secrecy as stipulated in applicable laws or in the contract;
(d) Fraudulently use this service in the place of another person;
(e) Transmit or spread computer viruses;
(f) Engage in illegal transactions or post untruthful, incriminating messages.
(g) Engage in the sale of firearms, narcotics, controlled medications, pirated software or any other illegal materials;
(h) Provide gambling information or seduce other people in the act of gambling by other means;
(i) Engage in the act of spamming using e-mail advertisements;
(j) Engage in other activities that ccTalk regards as being inappropriate on legitimate grounds.

 

The Interruption of System Service or the Malfunction thereof
 

There is the potential for the interruption or malfunction of this service that results in the inconvenience of use, loss of data, errors, and fraudulent changes of personal data or any economic loss on your part. It is advised that you take the necessary measures of protection when using this service. ccTalk shall not be responsible for any losses or claims as the result of using this service on your part (or the inability of use).

 

Downloading Software of Data
 

ccTalk shall not be responsible for the software or data that you download via this service, or with the hyperlinks to other websites via ccTalk. You should ascertain the appropriateness, validity, accuracy, completeness as well as potential infringements on any third party’s rights of the aforementioned software or data, such that any loss can be avoided (e.g., damage to your computer system, loss of stored data, et al). ccTalk shall not be responsible for any losses or claims.

 

Information or Suggestions
 

ccTalk does not guarantee the accuracy concerning the information or suggestions that you obtain via this service or the with hyperlinks to other websites via this service (including, but not limited to, commerce, investment and asset management, medicine, legal matters, et al). ccTalk reserves the right to revise or delete any information or suggestions provided. You are advised to consult professionals for opinions based on your particular situations before any planning or decisions are made, in order to fulfill your personal needs.

ccTalk shall regularly collaborate with third-party content providers, such as companies or merchants, to offer news, information, electronic bulletins, et al for posting on ccTalk, who shall cite the sources when posting the aforementioned content. With regards to the posted content, ccTalk shall not make any substantive changes for the respect of intellectual property rights of the providers, and neither shall it be responsible for the truthfulness thereof. You are advised to ascertain the truthfulness of the aforementioned content. In the event that there is any infringement of personal rights or untruthfulness pertaining to the content, please post your own opinions directly to the content providers.

 

Advertisements
 

The content, words, illustrations to the graphical presentations, demonstration samples or other marketing information that you browse on ccTalk are designed and presented by advertising firms and providers of products and services. You shall bear the responsibility of ascertaining the correctness and trustworthiness of these advertisements. ccTalk is only entrusted with the posting and shall not be responsible for the aforementioned advertisements.

 

Buying, Selling and Other Means of Transaction
 

Merchants or individuals may offer the buying, selling of products, or other forms of transacting activity via this service or with the hyperlinks to other websites via ccTalk. In the event that you conduct transacting activities with merchants or individuals, please be advised that any purchase or service contract exists only between you and the involving merchants or individuals. You should request the merchants or individuals to disclose, in detail, matters pertaining to the quality, content, delivery, warranty items and warranty for defection of products, services or other transacted objects. You should directly deal with the merchants or individuals for remedies or solutions regarding all disputes arising out of the aforementioned buying, selling, service or other transacting activities. ccTalk will not, in any way, involve in any buying, selling, service or other transacting activities between you and merchants or individuals, or be responsible for any product, service or other objects of transactions obtained by you. If the aforementioned buying, selling, service or other transacting activities are conducted between you and shopping websites operated by ccTalk, the rights and responsibility between the involving parties shall be separately determined in the contracts of the websites regarding the guidelines of respective rights and responsibility.

 

Statement of Disclaim
 

You have understood and agreed that:
ccTalk does not provide any explicit or implicit guarantee to this service, including, not limited to, forms of business marketability, special-purpose suitability and no infringements to others’ rights. ccTalk does not guarantee the following: (a) this service fulfills your needs; (b) this service will be offered interference-free, real-time, with security and reliability, or with no errors; (c) the results through the use of this service are correct or reliable; and (d) any product, service, information or other data purchased or acquired by you satisfies your expectations.

You will bear the risk of determining whether or not to download or acquire any data via this service. You will also be fully responsible for any damage to or loss of data in your computer on account of the downloading of any data.

The suggestions and information that you obtain from ccTalk or this service, in written or verbal form, do not constitute any guarantee for this service.

 

Behaviors of the Members
 

You understand that ccTalk does not prescreen any “membership content”, but reserves the right (not obliged) to reject or remove any “membership content” offered by this service based on certain legitimate considerations. Per the premise of not placing restraints to the aforementioned provision, ccTalk and the person designated is authorized to remove any “membership content” that violates the terms of this service agreement and is repulsive in nature. You agree that you should independently evaluate and bear all the involved risk regarding the conditions of accuracy, completeness or practicability of the “membership content” as you use any. You also understand and agree that, per the requests of applicable laws or the reasonable confines of the following purposes, ccTalk is entitled to store and disclose “membership content” when such content is stored or disclosed to governmental authorities, police in charge of jurisdiction or legal guardians of individuals not reaching legal age: (a) compliance with applicable laws or legal procedures per the requests of governmental authorities; (b) the implementation of this service agreement; (c) responses to claims of violating the rights of any third parties; or (d) protection of ccTalk, its users and rights, property or personal safety of the public.

 

Protection of Intellectual Property Rights
 

ccTalk or other obligees, per the applicable laws, own the intellectual property rights to the software or programs and content on the website(s), including but not limited to written work, pictures, files, information, data, website infrastructure, the arrangements of the website screens and website design; such rights include, but not limited to, trademarks, patents, copyrights, business secrets and exclusive technologies, et al. Any person shall not, on his or own initiative, engage in the use, modifications, reproduction, public broadcasting, rewriting, spreading, publishing, publicly release, reverse engineering, decoding or disassembly of the aforementioned content. In the event that you wish to quote or cite the aforementioned software, programs or the content of the website(s), you must legally obtain written consent from ccTalk or other obligees. It is your responsibility to respect intellectual property rights, the infringements to which will duly result in the claims to the damage incurred that are solely your responsibility to ccTalk (including, but not limited to, expenses for litigations and the employment of attorneys).

 

Your Authorization to ccTalk
 

If you do not have the legal right to authorize others to use, modify, reproduce, publicly broadcast, rewrite, spread, publish, publicly release certain data and transfer the aforementioned authorization to a third party, you are advised not to, on your own initiative, upload, transmit, enter or provide such data to ccTalk. Any data that you upload , transmit, enter or provide to ccTalk will be deemed available to ccTalk for unconditional use, modifications, reproduction, public broadcasting, rewriting, spreading, publishing and public release; you shall have no dispute pertaining to the transfer of the aforementioned rights to others. You also guarantee to ccTalk that the use, modifications, reproduction, public broadcasting, rewriting, spreading, publishing and public release of such data will not constitute infringements to any third party’s intellectual property rights; otherwise, the claims to the damage incurred are solely your responsibility to ccTalk (including, but not limited to, expenses for litigations and the employment of attorneys).

 

Governing Laws and Venues
 

The interpretation and application of this service agreement, as well as disputes pertaining to this service agreement, are pursuant to and handled according to applicable laws and regulations of the Republic of China; Taipei District Court, Taiwan shall be the venue for all first instances.
